Terms and Conditions

These Terms and Conditions ("Terms") govern your use of agenthos.ai (the "Site") and of any content, contact form, free audit or discovery call we offer through it. The Site is operated by Agenthos ("Agenthos", "we", "us", "our"). By accessing the Site you agree to these Terms and to our Privacy Policy. If you do not agree, please do not use the Site.

Services we deliver to clients (design, build, integration, support and consulting work) are governed by a separate written agreement, proposal or statement of work. Where such an agreement conflicts with these Terms, the agreement prevails for that engagement.

The Site is intended for businesses and professionals. By using it you confirm that you are at least 18 years old and, if you act on behalf of an organisation, that you have authority to bind it.

The Site describes what we do and shows examples of our work. Its content is provided for general information only. It is not legal, financial, technical or other professional advice, and it is not an offer capable of acceptance. We try to keep it accurate and current, but we do not warrant that it is complete, error-free or up to date, and we may change or remove content at any time without notice.

Descriptions of services, timelines (such as "most pilots live within 2 weeks"), response times and processes describe how we typically work, not a guarantee for any particular project. Scope, price and timing for an engagement are set only in a written agreement.

Case studies and testimonials describe specific projects for specific clients and are published with those clients' permission. They are illustrative. Every business, dataset and workflow is different, and results achieved for one client are no indication of what we can achieve for you. Any figures shown mean only what the page where they appear says they mean, and they are not a promise of savings, revenue, accuracy or performance.

Client names, logos and trademarks appearing on the Site belong to their respective owners and are used to identify the projects concerned. Nothing on the Site implies that a client endorses Agenthos beyond the words attributed to them.

You may use the contact form to ask about our services. Submitting it is a request for information, not a contract. We aim to respond within one business day, but we are not obliged to respond to or accept any enquiry, and we may decline to work with anyone at our discretion.

A "free audit" is an informal, high-level review of the workflows you describe to us. It is provided free of charge and without obligation on either side. It is based only on the information you give us, may be incomplete, and is not a substitute for a paid discovery phase, a technical assessment or professional advice. You are responsible for any decision you make on the basis of it. We give no warranty in relation to it and accept no liability for it beyond what section 10 allows.

You agree to provide accurate information, to use the form only for genuine enquiries about our services, and not to submit unlawful, defamatory, infringing, malicious or unsolicited commercial content. Do not send us passwords, payment card details, health data or other sensitive personal data through the form.

Information you share before a written agreement is in place, including during a discovery call, is shared at your own discretion. We handle it with reasonable care and do not disclose it to third parties beyond our service providers, but no formal confidentiality obligation arises until a written non-disclosure agreement or engagement agreement says so. Please do not share material you are not entitled to share.

The Site and everything on it, including text, design, graphics, illustrations, code, the Agenthos name and logo, are owned by or licensed to Agenthos and protected by copyright, trade mark and other laws. You may view the Site and print or download extracts for your own internal, non-commercial evaluation of our services. Any other use, including copying, republishing, framing, scraping or creating derivative works, requires our prior written consent.

Ownership of anything we build for a client is set out in the relevant engagement agreement. Our standard position, described on the Site as "you own what we build", takes effect only through and on the terms of that agreement.

You must not:

• use the Site in any way that breaks the law or infringes anyone's rights;
• attempt to gain unauthorised access to the Site, the servers on which it is hosted or any connected system or data;
• introduce viruses, malware or any other harmful code;
• scrape, crawl or bulk-extract content or data from the Site, other than ordinary search-engine indexing permitted by our robots file;
• use the Site's content to train, fine-tune or evaluate machine-learning models without our written permission;
• submit the contact form by automated means, or use it to send spam or unsolicited marketing;
• interfere with the operation, security or availability of the Site;
• impersonate any person or organisation, or misrepresent your affiliation with one.

We may suspend or block access for a breach of these rules without notice, and we reserve all other rights and remedies available to us.

The Site links to third-party websites, including our clients' sites, and relies on third-party providers such as hosting and email delivery. We do not control third-party sites and are not responsible for their content, availability or practices. A link is not an endorsement. Your dealings with any third party are between you and them.

We design and build systems that use artificial intelligence and automation. Descriptions on the Site of what such systems can do are general. AI models can produce inaccurate, incomplete or biased output, and automations can fail or behave unexpectedly if inputs, connected tools or third-party services change. The suitability, testing, human oversight and safeguards for any system we build for you are agreed in your engagement agreement. Nothing on the Site is a representation that any AI system will be accurate, uninterrupted or fit for a particular purpose.

You are responsible for ensuring that your use of AI and automation complies with the laws that apply to you, including data protection, consumer protection, employment and sector-specific rules, and for obtaining any consents required from your own customers or staff.

To the fullest extent permitted by law, the Site and its content are provided "as is" and "as available", without warranties of any kind, whether express or implied, including warranties of merchantability, fitness for a particular purpose, non-infringement, accuracy, and uninterrupted or error-free operation. We do not warrant that the Site is free of viruses or other harmful components.

To the fullest extent permitted by law, Agenthos and its owners, employees, contractors and suppliers will not be liable to you for any indirect, incidental, special, consequential or punitive loss, or for any loss of profit, revenue, business, data, goodwill or anticipated savings, arising out of or in connection with the Site, its content, the contact form, any free audit or discovery call, or these Terms, whether in contract, tort (including negligence), breach of statutory duty or otherwise, even if we were advised of the possibility of such loss.

To the fullest extent permitted by law, our total liability for all other claims connected with the Site is limited to the greater of (a) the amount, if any, you paid us for access to the Site and (b) one hundred US dollars (USD 100).

Nothing in these Terms excludes or limits liability that cannot be excluded or limited by law, including liability for death or personal injury caused by negligence, for fraud or fraudulent misrepresentation, or under statutory consumer rights that apply to you.

Liability for services delivered under an engagement agreement is governed by that agreement, not by this section.

You agree to indemnify and hold harmless Agenthos and its owners, employees and contractors from any claims, losses, liabilities and reasonable costs (including legal fees) arising from your breach of these Terms, your misuse of the Site, or any content or data you submit to us in breach of the law or of a third party's rights.

If you send us suggestions, ideas or feedback about the Site or our services, you grant us a perpetual, irrevocable, royalty-free licence to use them without restriction or compensation. Please do not send us ideas you consider confidential or proprietary. This section does not apply to material you share under a written agreement or non-disclosure agreement, which is governed by that document.

How we collect and use personal data through the Site, including the contact form, is described in our Privacy Policy, which forms part of these Terms.

We may modify, suspend or discontinue the Site or any part of it at any time. We may also revise these Terms; the date at the top shows the latest version. Continued use of the Site after a change means you accept the revised Terms. If you do not accept them, stop using the Site.

These Terms, and any dispute or claim arising out of or in connection with them or the Site, are governed by the laws of the country in which Agenthos is established, without regard to conflict-of-law rules, and the courts of that jurisdiction have exclusive jurisdiction. If you are a consumer, you keep the protection of any mandatory rules of the law of the country where you live and may bring proceedings there.

Before starting formal proceedings, you agree to contact us at admin@agenthos.ai and to try in good faith to resolve the matter informally for at least 30 days.

• Severability. If any part of these Terms is found invalid or unenforceable, the rest continues in force.
• No waiver. A failure or delay by us in enforcing any right under these Terms is not a waiver of that right.
• Entire agreement. These Terms and the Privacy Policy are the whole agreement between you and us about your use of the Site. They do not affect any separate engagement agreement.
• Assignment. We may transfer our rights and obligations under these Terms to a successor. You may not transfer yours without our written consent.
• Third parties. No one other than you and Agenthos has any right to enforce these Terms.
• Language. These Terms are written in English. If they are translated, the English version prevails.
